Clients engage RadixOne experts for their experience and informed judgment while recognizing the legal, contractual, and ethical limitations on the information that may be disclosed.

Experts are required to act with integrity, professionalism, and independence at all times. Insights shared during engagements must be based solely on the expert’s lawful experience, knowledge, and judgment, and must not be influenced by external interests, inducements, or improper considerations.

3.2 Confidentiality Obligations

Experts must not disclose or share any confidential, proprietary, or non-public information belonging to current or former employers, clients, or any third party. This includes, but is not limited to, trade secrets, internal data, strategic plans, unpublished financial information, or sensitive operational details. Experts are expected to comply with all contractual, fiduciary, and non-disclosure obligations applicable to them.

3.3 Prohibition on Inside and Material Non-Public Information

Experts are strictly prohibited from disclosing material non-public information (“MNPI”), insider information, or any information restricted under applicable securities, market, or competition regulations. Engagements are limited to publicly available information and personal experience that is lawfully shareable.

3.4 Conflict of Interest Disclosure

Experts must disclose any actual, potential, or perceived conflicts of interest prior to and, where applicable, during an engagement. This includes current employment, advisory roles, board positions, financial interests, or relationships that could reasonably affect impartiality.

RadixOne reserves the right to restrict, modify, or terminate engagements where conflicts cannot be appropriately managed.

3.5 Accuracy and Fair Representation

Experts must ensure that information provided is accurate to the best of their knowledge and must clearly distinguish between factual statements, professional experience, and personal opinions or interpretations.

3.6 Engagement Scope and Time Integrity

Experts must adhere strictly to the agreed scope of each engagement and accurately report time spent, deliverables provided, and invoices raised. Any misrepresentation of engagement details, time logs, or billing is strictly prohibited.

4. Compliance Controls for Clients

RadixOne’s compliance framework is designed to support client risk management and internal governance requirements by:

  • Screening experts and engagements for conflicts and restrictions
  • Reinforcing engagement-specific compliance reminders
  • Limiting the scope and nature of expert interactions
  • Supporting coordination with client compliance and legal teams

Clients remain responsible for implementing and enforcing their own internal compliance policies in connection with expert engagements.

5. Employer and Affiliation Restrictions

RadixOne recognizes that experts may be subject to restrictions imposed by current or former employers or professional affiliations. Experts are prohibited from participating in engagements that would violate such restrictions. Where required, written employer authorization may be requested prior to participation.

6. Monitoring, Verification, and Oversight

RadixOne reserves the right to conduct compliance reviews, audits, and verification checks related to expert profiles, engagement conduct, time logging, and invoicing. Such reviews may be conducted internally or through qualified third-party service providers.

Compliance oversight is supported by documented policies, internal controls designed to identify and mitigate compliance risks.

7. Breach, Enforcement, and Remedial Actions

Any violation of this Compliance Framework may result in corrective action, including but not limited to:

  • Suspension or termination of expert participation
  • Cancellation of engagements
  • Withholding or recovery of payments
  • Reporting to relevant authorities, where required by law
  • Other actions permitted under applicable law or contractual arrangements

By registering as an expert and participating in engagements through RadixOne, experts acknowledge that they have read, understood, and agree to comply with this Compliance Framework, Terms & Conditions and all related policies and procedures.
